The present Terms of Use regulate the general conditions of use of the website https://www.navigal-ts.com/, social media, and other technological means in accordance with the laws of the United Arab Emirates.

1. PRELIMINARY INFORMATION

The Digital Platforms ("Platforms") and their content are the exclusive property of NAVIGAL, located at Office No. TI - 4f - 11, Rakez Amenity Center, Al Hamra Industrial Zone, Fz. Ras Al-Khaimah – United Arab Emirates. The User is the individual or entity that accesses and/or registers on the Platforms, recognizing and fully accepting these "Terms of Use" electronically.

BY ACCESSING THESE PLATFORMS, THE USER AUTOMATICALLY AGREES TO ITS TERMS OF USE AND OUR PRIVACY POLICY IN FULL AND WITHOUT RESERVATION, TAKING FULL RESPONSIBILITY FOR ALL AND ANY ACTIONS PERFORMED ON OR RELATED TO THE PLATFORMS.

Additional terms may apply and, if so, will be supplementary and considered an integral part of these for all purposes, prevailing in the event of a conflict. They will take effect when we disclose them on the Platforms. The fact that the User continues to access or use the Platforms after the disclosure of additional terms represents their consent to be bound by the updates. The handling of personal data of Users and/or visitors to our Platforms is governed by our Privacy Policy, available at the link https://www.navigal-ts.com/.

2. OWNERSHIP

The Platforms are and will remain the exclusive property of NAVIGAL, with their access and use permitted to the User, provided that they comply with the conditions defined herein. We may terminate, modify, extinguish, or amend these Terms, and may refuse a User's request, suspend, cease to offer, or facilitate access to the Platforms or parts thereof, at any time, at our sole discretion, temporarily or permanently, without such a decision giving the User the right to any compensation or reimbursement of any kind. These Terms do not confer any rights to the User over the Platforms, except for their right to use and/or access within the limits and conditions set forth herein.

3. APPLICATION

These Terms of Use apply to all pages and interfaces hosted on the Platforms, as well as the services offered by NAVIGAL. The clauses of these Terms do not apply to the pages contained on Platforms of other organizations/companies that may have links or references on our site.

In the case of references to Platforms of other organizations or companies, we recommend that the User read their privacy policies and terms of use. The valid and effective version of these Terms of Use is the one currently published on the NAVIGAL website. Various services and content offered on the Platforms may be subject to specific Terms of Use or not, with these being valid. These terms of use may replace, complement, or modify the present ones.

4. ABOUT THE USE OF THE PLATFORMS

The use of the Platforms is subject to compliance with these Terms, granting the User a limited, non-exclusive, temporary, non-sublicensable, revocable, personal, and non-transferable license to access and use the Platforms, content, information, and material made available exclusively for their use as an end User. The Platforms, including, without limitation, the content on the screens, as well as the programs, databases, source codes, files, publications, etc., that allow the User to access and use them, are our exclusive property, with all rights reserved to NAVIGAL. Any rights not expressly granted to the User through these Terms are also reserved to NAVIGAL.

When registration and the provision of information are required, the use and access of the Platforms will be conditioned upon its completion; we may deny them if the established prerequisites are not met.

5. INTELLECTUAL PROPERTY 

All rights related to the Platforms are reserved to NAVIGAL, including but not limited to their texts, images, recordings, and any other content. All trademarks presented on the Platforms are owned by NAVIGAL, or by partner, affiliated, supplier companies, or refer to products and services for which we have the proper license for use. Any improper use of any content or trademarks presented on the Platforms, in any form or medium, is expressly prohibited.

The User must respect all applicable copyrights and other rights, including intellectual property rights, applicable to the content on the Platforms. Each work or content present on NAVIGAL's Platforms will be governed by its own applicable terms, and it is the sole responsibility of the User to observe all of NAVIGAL's rights over them. The User is aware that the Platforms, as well as their structure, organization, and source code, are valuable trade secrets that belong to NAVIGAL.
 

The User must not in any way:

· Reproduce, use, copy, distribute, allow public access, make available to the public, transform, or modify in any way the content of NAVIGAL's Platforms unless they have prior authorization from the holder of the corresponding rights.

· Remove any copyright notice, trademark notice, or other notice of intellectual property rights.

· Modify, adapt, translate, prepare or create derivative works, distribute, license, lease, sell, resell, transfer, display, broadcast, transmit, or otherwise exploit the Platforms, except as expressly permitted by NAVIGAL.

· Decompile, decode, reverse engineer, disassemble, access, consult, or attempt to decipher the source code of the Platforms in any other way.

· Make or launch any programs or scripts for the purpose of scraping (automated data collection simulating users), searching, or any other form of obtaining data from any part of the Platforms, or overloading or unduly impairing the operation and/or functionality of any aspect.

· Attempt to gain unauthorized access to the Platforms or impair any aspect of them or their related systems or networks.

· Share their password, give access, or transfer their NAVIGAL registration to third parties.

· Use or in any way utilize corporate names, logos, product or service names, trademarks, or service marks of NAVIGAL or any Group company for personal purposes that do not arise from the regular use of the Platforms.

6. USE OF THE PLATFORMS AND THIRD-PARTY CONTENT

The use of the Platforms may be made available and accessed in connection with Third-Party Platforms related to NAVIGAL's activities and with third-party content, including advertising, within the limits provided in the Privacy Policy. Third-party applications will be subject to their own terms and conditions, and NAVIGAL will not be responsible for issues related to transactions or dealings with these third parties nor for their content, applications, services, sites, advertisements, links, products, services, platforms, practices, and/or privacy policies that may be accessed through the Platforms.

It is the User's responsibility to review all legal terms (including privacy policies and terms of use) of third-party Platforms. Any obligation, liability, commitment, or debt that the User may incur when accessing third-party Platforms arises from their own will and action, with NAVIGAL in no way being responsible, nor having the ability to alter these Terms of Use.

If the User accesses the Platforms using applications developed for mobile devices based on Apple iOS, Android, Microsoft Windows, owned by Apple Inc., Google, Inc., Microsoft Corporation, or any others, these companies will be considered third parties in relation to these Terms. NAVIGAL shall in no event be responsible for these applications or their operation. It is also the User's responsibility to review the privacy policies and terms of use of these applications.

7. LIMITATION OF LIABILITY

The User of the Platforms is solely and exclusively responsible for their use and navigation and must comply with the Terms of Use, the Privacy Policy, and NAVIGAL's Code of Ethical Conduct, as well as the applicable legislation, and the Terms of Use and Privacy Policies of third parties, including social media, when applicable. Under no circumstances will NAVIGAL, its affiliates, partners, or employees be liable for direct or indirect damages, material or moral, incidental, punitive, or consequential, including lost profits, loss of data, associated with, arising from, or related to the access, use, inability to use, or inability to access or use the Platforms, even if NAVIGAL has been advised of the possibility of such occurrences. NAVIGAL will also not be responsible for delays or failures resulting from causes beyond its reasonable control, nor for the quality, availability, completeness, and confidentiality of the use or access to the Platforms. Considering the inherent characteristics of the Internet environment, NAVIGAL is not responsible for interruptions or suspensions of connection, incomplete or failed computer transmissions, as well as for any type of technical failure, including but not limited to, electronic malfunction of any network, hardware, or software.

The unavailability of Internet access or the Site, as well as any incorrect or incomplete information about the Site and any human, technical, or other type of failure in processing information from the Site will not be considered the responsibility of NAVIGAL, and NAVIGAL will be exempt from any liability arising from such facts and/or acts.

It is the sole responsibility of the User to keep their computer environment secure by using available tools such as antivirus and firewall, among others, to help prevent cyber risks. The User cannot hold NAVIGAL responsible, nor demand any compensation, for any damages resulting from (i) technical difficulties or failures in systems, the Internet, or any other type of error, or (ii) the unavailability of the Platforms, including when this occurs due to maintenance or improvements. The lack of proper functioning of the Platforms will not exempt the User from fulfilling any obligations assumed, especially those provided for in contracts entered into with NAVIGAL, these Terms, and other applicable documents.

The User is aware that the liability limitations set forth in these Terms are an essential part of the existence and availability of the Platforms. Any improvements and upgrades to the Platforms will not entitle compensation, and Users acknowledge that technological solutions may evolve continuously.

8. ABSENCE OF WARRANTIES

NAVIGAL provides and allows access to and use of the Platforms by Users in their current state and condition, without offering any express, implied, or statutory warranties, including availability, suitability for specific uses or systems, absence of violations, or errors. NAVIGAL does not offer any express, implied, or statutory warranties not expressly contained in these Terms, including implied warranties of merchantability or fitness related to the Platforms. NAVIGAL also does not guarantee:

· the reliability, timeliness, quality, suitability, or permanent availability of the Platforms;

· the continuous, uninterrupted operation of the Platforms, or that they will be free from errors or failures;

· that the functions contained in the Platforms will work in all combinations that may be selected for use.

9. DISCLAIMER OF LIABILITY

The User agrees to indemnify and hold NAVIGAL, its partners, directors, employees, service providers, and agents harmless from all and any claims, charges, damages, liabilities, and expenses (including attorney's fees) arising from or related to:

· Access and/or use of the Platforms;

· Breach or violation of any provision of these Terms;

· NAVIGAL's use of User Content; or

· Violation of third-party rights.

10. OTHER PROVISIONS

Any questions or requests related to these Terms of Use or the Website's Privacy Policy should be sent to NAVIGAL via email at privacy@navigal-ts.com. Tolerance of any eventual breach of any of the clauses and conditions of these Terms of Use will be considered mere tolerance and liberality and will not constitute novation of the obligations stipulated herein or waiver of any right, nor will it prevent or inhibit their enforceability at any time by NAVIGAL. If any provision of these Terms is deemed illegal, invalid, or unenforceable, in whole or in part, that provision will, to that extent, be considered non-existent for the purposes of these Terms, but the legality, validity, and enforceability of the remaining provisions contained in these Terms will not be affected. In this case, the parties will replace the illegal, invalid, or unenforceable provision with another that is legal, valid, and enforceable and that has a similar effect to achieve the purpose described in these Terms. To resolve any doubts and disputes relating to the content of these Terms, the application of the laws of the United Arab Emirates is hereby established, regardless of the country from which the Platforms are accessed.
 

THE USER HAS READ AND FULLY ACCEPTED THE TERMS OF USE AND THE PRIVACY POLICY AND IS AWARE OF THE MERELY INFORMATIVE NATURE OF THE PRODUCTS AND SERVICES, WITHOUT ANY PROMISED CONCRETE RESULT, AND THAT THEIR ACCEPTANCE MAY BE VALIDATED THROUGH VIRTUAL, COMPUTERIZED, AND TELEMATICS MEANS OF VERIFICATION AND CONTROL, WITHOUT THE NEED FOR THE USER'S PHYSICAL SIGNATURE.
